Perspective 3D, LLC — Terms of Service

By hiring Perspective 3D, LLC, scheduling services, or approving an estimate, you are agreeing to the following Terms of Service. These terms apply to all services provided by Perspective 3D, LLC, including photography, videography, 3D virtual tours, Matterport scanning, LiDAR scanning, point cloud capture, documentation, and all related deliverables.
1. Agreement
This agreement is entered into between Perspective 3D, LLC (“Perspective 3D”) and the client identified in the accompanying proposal or estimate (“Client”). By executing a proposal, approving an estimate, or knowingly allowing Perspective 3D to proceed with services, Client agrees to be bound by these Terms of Service. These Terms, together with the applicable proposal or estimate, constitute the entire agreement between the parties and supersede all prior agreements, representations, or understandings relating to the subject matter hereof. 2. Services Covered
These Terms of Service apply to all services provided by Perspective 3D, LLC, including but not limited to:
Photography & Marketing Services: Real estate and architectural photography, aerial drone photography and video, videography, 360 photography, Google Business services, and virtual tour production.
Documentation Services: Matterport 3D scanning, LiDAR scanning, point cloud capture, digital twin creation, site surveys, scan-to-plan, CAD/as-built deliverables, and related documentation services.
Where a term applies only to a specific service track, it is noted accordingly.
3. Photography & Marketing Services — Licensing and Rights
Under current copyright laws, ownership of all photographs, videos, and visual media belongs entirely to Perspective 3D, LLC. Perspective 3D retains all rights to images and media unless otherwise agreed upon in writing, and only licenses the use of the images to the Client as described below.
Standard License — Permitted Uses:
- Uploading to the MLS for the purpose of marketing a property for sale (syndication to multiple websites is permitted; ownership of the photos does not transfer)
- In-house brochures or mailing pieces promoting your company
- Social media promotions for your company
- Use in portfolios, office displays, digital presentations, annual reports, and trade show prints
- Submittal to design competitions and public relations releases
- Submittal to editors and publishers for review
- Use on the internet including personal or company website or social media
- Images in digital form may be stored and printed for in-house project sheets, proposals, and other short-run projects including editorial, newspapers, and special interest magazines

Exclusions (contact us for additional pricing):
- Billboards, including vehicle wraps
- Widely circulated magazines (over 300,000 circulation)
Period of Use: The standard license permits use of images for up to one year from date of delivery. An extended license may be purchased for use beyond this time frame.
Non-Exclusive Use: Perspective 3D reserves the right to issue a separate license to additional parties for an additional fee. If exclusive use is required, Client must notify Perspective 3D in advance. Any use of images by a third party — including architects, builders, stagers, designers, sellers, or buyers — is strictly prohibited without a separate license issued by Perspective 3D. If you receive a request to use the photos by a third party, please direct them to us.
4. Documentation Services — Assumptions and Scanning Limitations
Unless explicitly stated in the proposal, point cloud data will not be geo-referenced or tied to an existing project coordinate system; it will be tied to the project base point. Only information visible to the human eye will be collected. Laser scanning technology is limited to line-of-sight visibility and cannot capture data inside walls or objects, through piping insulation, or underground. Material types will not be included or implied in any model unless explicitly stated. Ceiling data is limited to the bottom of flange of exposed structure unless explicitly stated.
Any materials or items obstructing the view of key features should be removed prior to scanning at no cost to Perspective 3D, including but not limited to: items on the floor if floor flatness or detail is needed; piping insulation if actual outside diameter is required; fireproofing on structural steel if exact location and detail is imperative; vegetation including shrubs, trees, and bushes; and stationary objects such as parked vehicles, shelving rack systems, bins, and furniture.
Perspective 3D is not responsible for housekeeping. Any obstructions present at the time of scanning will likely be captured in the scan data and could block needed data.
5. Client Responsibilities
In addition to other obligations described herein, Client shall: (i) provide all information, criteria, and access necessary for Perspective 3D to perform the services prior to commencement; (ii) provide prompt, complete disclosure of all known or potential hazardous conditions or health and safety risks at the project site; (iii) provide all prior studies, plans, drawings, or other documents pertaining to the project reasonably necessary for completion of the services; (iv) review all documents or reports presented by Perspective 3D and provide written decisions within a reasonable time so as not to delay the services; (v) obtain and furnish all required approvals and permits necessary for completion of the services; and (vi) give prompt written notice to Perspective 3D whenever Client becomes aware of any development that affects the scope or timing of the services.
For photography services: properties should be properly staged and cleaned before the photographer or technician arrives. A staging/prep sheet is available upon request. If Client or an authorized representative cannot be present at the time of service, Perspective 3D will use its best professional judgment and experience, and this shall be deemed acceptable by Client.
Perspective 3D is entitled to rely upon the accuracy and completeness of all information furnished by Client.
6. Safe Accessibility and Right of Entry
Client is responsible for providing safe access to the property, including lighting, access instructions, and unlocking all areas included in the project scope. Client will provide prompt and complete disclosure of all potentially hazardous conditions, including health and safety risks, and the measures necessary to avoid or mitigate those risks.
If Perspective 3D personnel will be working near hazardous materials, structural concerns, rotating equipment, construction traffic, burn or electrocution hazards, or other potentially dangerous conditions, Client is responsible for communicating the existence of and protection methods for those hazards. Perspective 3D has no responsibility for the discovery of hazardous conditions or the handling or disposal of hazardous materials. Client agrees to defend, indemnify, and hold harmless Perspective 3D, its affiliates, employees, officers, directors, and representatives from any and all claims, demands, liabilities, losses, costs, expenses, and damages (including attorneys’ fees and witness fees) that may result from encountering hazardous materials or conditions at the project site.
While Perspective 3D will take all reasonable precautions to minimize disruption to the property, Client acknowledges that in the normal course of work minor incidental contact with surfaces may occur, and that correction of any such incidental contact is not part of this agreement unless caused by the negligence or willful misconduct of Perspective 3D.
7. Standard of Care
Perspective 3D’s services will be performed in a manner consistent with the generally accepted standard of care and skill ordinarily exercised by professionals performing similar services under similar circumstances at the time and place the services are performed. No other representation, warranty, or guarantee — expressed or implied — is made by Perspective 3D, except as expressly stated herein.
8. Invoicing and Payment
All agreed upon fees and expenses are due upon delivery of assets or upon receipt of invoice, as applicable. Perspective 3D reserves the right to cancel, postpone, or refuse to schedule subsequent services until the account is made current.
If an invoice is thirty (30) or more days past due, Perspective 3D may suspend services and restrict access to deliverables under this or any other agreement between the parties until all amounts due are paid in full. Any unpaid balances shall accrue late charges at 8% per annum, or the highest rate allowed by law, whichever is lower. If payment is not made in accordance with this agreement, Client agrees to pay all reasonable attorneys’ fees and costs incurred by Perspective 3D in connection with collection. Perspective 3D shall have no liability for any damages or delays caused by withholding of deliverables or suspension of services due to Client’s failure to meet payment obligations.
9. Cancellation and Rescheduling
Unless otherwise stated in writing, Perspective 3D, LLC requires a 50% deposit at the time of scheduling. The deposit is refundable, less 50% or $450 (whichever is greater), if services are cancelled or postponed within 2 calendar days of the scheduled service date. No refunds will be processed if services are cancelled or postponed without at least 2 calendar days’ notice. This fee compensates Perspective 3D personnel for lost wages and reserved time.
In cases where no deposit is made or required, the full service amount will be assessed if: (1) a Perspective 3D technician or photographer arrives at the property to find the service is cancelled, including denied access or the property not being ready; or (2) if the service is cancelled or postponed on the day of the scheduled appointment.
If 48 hours’ notice is not given, a 25% fee will be assessed per unit or property for each photographer or technician scheduled.
For documentation and scanning projects requiring significant pre-production planning, custom cancellation terms may be stated in the proposal. In the absence of such terms, the above cancellation policy applies.
10. Additional Services and Change Orders
Services not listed within the project scope are excluded and will not be performed unless authorized in writing by Perspective 3D prior to performance. Authorized additional services will be quoted separately. Unless otherwise agreed in writing, Client shall pay for additional services on a time-and-materials basis at Perspective 3D’s then-current rates. Fees stated in proposals and estimates are a best estimate based on information available at the time of proposal. As the project progresses, details uncovered may require revision to scope, schedule, and/or fee; all such amendments will be communicated to Client and approved in writing before proceeding.
11. Point Cloud Cleaning (Documentation Services)
The project fee for documentation services includes basic cloud cleaning such as cropping of data and removal of reflections. Excessive items (e.g., steam, people, moving equipment, or other transient elements) that must be cleaned from point clouds for registration purposes or at Client’s request may incur additional fees at Perspective 3D’s then-current hourly rate above and beyond quoted pricing. Client will be notified and must authorize in writing before any additional point cloud cleaning is performed.
12. Potential Delays and Force Majeure
Project duration may change due to unforeseen conditions. The schedule assumes average weather conditions; exterior services are weather-dependent, and inclement weather or high wind may require schedule adjustment. If on-site work is impeded beyond the reasonable control of Perspective 3D, additional site time may be scheduled at Client’s expense; Client will be notified prior to scheduling such additional time.
Neither party shall be responsible or liable for delays in performance, failure of performance, or additional costs arising from any force majeure event, including but not limited to: fire, flood, explosion, acts of God, war, riot, civil disturbances, terrorist acts, strikes, labor disputes, inability to obtain materials or services, recognized health threats as determined by the World Health Organization or applicable governmental health agencies, third-party platform or technology disruptions (including disruptions to the Matterport platform), governmental regulations or orders, or any other cause beyond the parties’ reasonable control.
13. Project Deliverables and Digital Files
All photographs, videos, models, drawings, digital files, and other documents prepared by Perspective 3D (collectively, “Deliverables”) are considered instruments of service and project deliverables to which Perspective 3D retains all rights. Deliverables are provided “as is” without warranty of any kind, express or implied. Deliverables are furnished to Client for the use described in these Terms and the applicable proposal, and are not intended or represented to be suitable for reuse or adaptation for any other project without Perspective 3D’s prior written authorization.
Reliance upon, distribution, modification, or reuse of Deliverables by third parties without Perspective 3D’s prior written authorization is strictly prohibited. If Client distributes, modifies, or reuses Deliverables without such authorization, Client agrees to release Perspective 3D from all claims arising from such unauthorized use and to indemnify and hold Perspective 3D harmless from all related costs and expenses, including the cost of defense.
14. Data Hosting (Documentation Services)
Perspective 3D offers hosting of Matterport models as part of its scanning services. Standard hosting is included for twelve (12) months from the date of delivery of the completed model, unless a different period is stated in the proposal. Extended hosting beyond the standard term is available and will be quoted separately.
All Matterport models are governed by the Matterport Terms of Use, available at matterport.com/terms-of-use. Matterport models are hosted exclusively within the Matterport cloud platform. Perspective 3D has no control over, and assumes no responsibility or liability for, the availability, performance, continuity, pricing, or feature set of the Matterport platform. In the event of service interruption, data loss, platform changes, pricing changes, or discontinuation of services by Matterport, Perspective 3D shall bear no liability to Client.
Client acknowledges that by engaging Perspective 3D for scanning services, Client is purchasing a non-exclusive license to access and use the resulting Matterport model(s) as delivered. This license does not convey ownership of the model, the underlying platform, or any associated intellectual property. Perspective 3D, as the scanning and creative content provider, retains all rights to the creative work and scan data it produces. All platform rights, hosting infrastructure, and model technology remain the exclusive property of Matterport, Inc. Hosted Matterport models may be transferred to Client’s own Matterport account upon written request and receipt of all outstanding amounts due.
15. Confidentiality and HIPAA Compliance
Perspective 3D will treat all Client information, site data, project materials, and non-public business information obtained in the course of performing services as confidential and will not disclose such information to third parties except as necessary to perform the services or as required by law. This obligation survives termination or completion of this agreement.
Where services are performed in environments subject to the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) — including medical offices, hospitals, behavioral health facilities, long-term care facilities, or other covered environments — Perspective 3D will take reasonable precautions to avoid capturing Protected Health Information (“PHI”) or Personally Identifiable Information (“PII”) in final deliverables. Where PHI is unavoidably captured, Perspective 3D will make commercially reasonable efforts to digitally redact, blur, or crop such information from final deliverables.
Client is responsible for preparing the scan environment prior to service, including removing, covering, or securing any PHI or PII that may be captured during scanning. Perspective 3D is HIPAA-aware but is not itself a covered entity. Where required, Perspective 3D will enter into a Business Associate Agreement (“BAA”) with healthcare clients. Copies of Perspective 3D’s Confidentiality and HIPAA Compliance Policy and standard BAA are available upon request.
16. Professional Licenses and Warranty Disclaimer
Perspective 3D does not provide architectural, land surveying, engineering, or other professional services for which a license is required, and makes no warranty or guarantee of any kind for drawings or other deliverables. Where CAD, as-built, or other licensed-professional deliverables are included in a proposal, such work is produced by qualified subcontractors; Perspective 3D assumes no liability for the professional judgments, certifications, or outputs of such subcontractors, and any warranties from such professionals run directly to Client from the subcontractor.
Perspective 3D will not certify the existence of conditions that would require knowledge or licensure beyond the scope of the applicable agreement. Perspective 3D specifically disclaims any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
17. Subcontractors
Perspective 3D reserves the right to engage qualified subcontractors to assist in performing the services. Perspective 3D shall remain responsible to Client for the performance of any work delegated to subcontractors to the same extent as if Perspective 3D had performed such work directly, subject to the limitations of liability set forth herein.
18. Indemnity
By Perspective 3D: Subject to the Limitation of Liability provisions below, and to the fullest extent permitted by law, Perspective 3D agrees to indemnify and hold harmless Client from damages, losses, liabilities, and expenses for personal injury or property damage, including reasonable attorneys’ fees, to the extent directly caused by the negligent acts, errors, omissions, or willful misconduct of Perspective 3D in the performance of its services.
By Client: To the fullest extent permitted by law, Client agrees to release, defend, indemnify, and hold harmless Perspective 3D and its officers, employees, agents, representatives, and assignees from and against all claims, damages, losses, costs, liabilities, judgments, and expenses, including attorneys’ fees, arising from or in connection with: (i) Client’s performance or failure to perform its obligations under this agreement; (ii) errors, omissions, or inaccuracies in any data, documents, or information provided by Client on which Perspective 3D reasonably relied; or (iii) Client’s unauthorized use, distribution, or modification of Deliverables.
19. Limitation of Liability
Neither party shall be liable to the other for any consequential, incidental, special, or punitive losses or damages, whether arising in contract, warranty, tort, negligence, strict liability, or otherwise, including but not limited to loss of use, profits, business, revenue, or reputation. The maximum aggregate liability of Perspective 3D under any agreement shall not exceed the total fees paid by Client to Perspective 3D under the applicable proposal or estimate.
Any claim by Client against Perspective 3D must be submitted in writing within ninety (90) days after the earlier of: (i) the date Client becomes aware of circumstances giving rise to the claim, or (ii) one (1) year from the date Perspective 3D delivers the applicable services. Failure to provide timely written notice shall constitute an irrevocable waiver of such claim.
20. Waiver of Consequential Damages
Perspective 3D and Client mutually waive all consequential, incidental, special, and punitive damages, including but not limited to loss of use, profits, revenue, or business opportunity, for any claim or dispute arising out of or relating to services provided under this agreement, regardless of legal theory. This mutual waiver survives termination or completion of this agreement.
21. Insurance
Perspective 3D maintains general liability and professional liability (errors and omissions) insurance with limits of no less than $1,000,000 per occurrence. Certificates of insurance are available upon written request prior to commencement of services.
22. Termination and Suspension
This agreement may be terminated by either party upon not less than seven (7) calendar days’ written notice if the other party fails substantially to perform in accordance with its terms and the defaulting party fails to cure such default within the notice period. Failure of Client to make payments as required shall be considered substantial non-performance and grounds for suspension or termination at Perspective 3D’s option. In the event of suspension for non-payment, Perspective 3D shall have the right to withhold all Deliverables and require advance payment before resuming services. Perspective 3D shall be compensated for all services performed and reasonable expenses incurred prior to termination.
23. Relationship of the Parties
Perspective 3D is an independent contractor and shall not be deemed an employee of Client. No agency, partnership, joint venture, or employer-employee relationship is intended or created by this agreement. Neither party is authorized to act as agent or bind the other party except as expressly stated in this agreement. Deliverables prepared by Perspective 3D shall not be deemed a “work for hire” as defined under Copyright Law. All rights granted to Client are contractual in nature and expressly defined by this agreement.
24. Successors and Assigns
This agreement is binding upon the parties and their respective successors and permitted assigns. Neither party may assign or transfer this agreement or any rights or obligations hereunder without the prior written consent of the other party, which consent shall not be unreasonably withheld. This agreement is not intended to confer any rights or remedies upon any person or entity other than the parties hereto.
25. Notices
All formal notices required or permitted under this agreement shall be in writing and deemed delivered: (i) upon personal delivery; (ii) one business day after deposit with a nationally recognized overnight courier; (iii) three business days after deposit in U.S. mail, certified or registered; or (iv) upon confirmed email transmission. Notices to Perspective 3D shall be sent to info@perspective3-d.com or 2656 Railside Cir. SW, Byron Center, MI 49315.
26. Electronic Signatures
Electronic signatures, including signatures transmitted by email, DocuSign, QuickBooks, or similar platforms, shall be deemed valid and binding to the same extent as original ink signatures.
27. Governing Law and Dispute Resolution
This agreement is governed by the laws of the State of Michigan, without giving effect to any choice or conflict of law provision. If a dispute arises and is not resolved informally, the parties shall first proceed in good faith to non-binding mediation as a prerequisite to further legal proceedings. Costs of mediation shall be shared equally. Unless otherwise resolved in mediation, the parties retain their rights to proceed to arbitration or litigation. The parties waive any right to a trial by jury.
28. Severability
If any provision of this agreement is held to be invalid or unenforceable, such provision shall be reformed to the minimum extent necessary to make it enforceable, or severed if reformation is not possible, and the remaining provisions shall continue in full force and effect.
29. Waiver
No failure or delay by either party in exercising any right or remedy shall operate as a waiver thereof. Any waiver must be in writing and signed by the waiving party to be effective.
30. Entire Agreement
These Terms of Service, together with the applicable proposal or estimate, constitute the entire agreement between the parties and supersede all prior agreements, representations, and understandings. These Terms may not be modified except by a written instrument signed by authorized representatives of both parties. Conflicting or additional terms in any Client-generated document shall have no effect unless expressly accepted in writing by Perspective 3D.

All sensitive information is encrypted via Secure Socket Layer (SSL) technology. All transactions are processed through a gateway provider and are not stored or processed on our servers.
Do we use cookies? We, along with third-party vendors such as Google, use first-party and third-party cookies to compile data regarding user interactions with our website. Users may opt out of the use of the DART cookie by visiting the Google Ad and Content Network privacy policy.
Third-party disclosure We do not sell, trade, or otherwise transfer your Personally Identifiable Information to outside parties.
COPPA We do not specifically market to children under the age of 13.
Data Breach Notification In the event of a data breach, we will notify affected users via email within 7 business days.
CAN-SPAM We collect your email address to send information and respond to inquiries. You may unsubscribe at any time by emailing us or using the unsubscribe link in any email we send.
